Welcome to NxtGi, a marketplace company revolutionizing industries through innovative platforms. By accessing or using any of our services, you agree to the following Terms of Service ("Terms"), which govern your relationship with NxtGi and its subsidiaries.

1. Definition

NxtGi refers to Next Generation Innovations, its subsidiaries, affiliates, and all related platforms and services.
Platforms refer to any services provided under the NxtGi umbrella, including Kladit, Netpil, Liper, Seatprice, Araivd, Qonectr and future platforms.
User refers to any individual or entity accessing, registering, or using our services.
Content includes text, graphics, images, data, software, and other materials posted, generated, provided, or otherwise made available through the services.
Third-Party Services refer to services, products, or content provided by external parties integrated or linked with NxtGi platforms.

2. Acceptance of Terms

By accessing or using any NxtGi platform, you agree to be legally bound by these Terms, including any additional guidelines, policies, or modifications that may be issued periodically.
You agree to comply with all applicable laws and regulations in your jurisdiction.
NxtGi reserves the right to modify or update these Terms at any time. Continued use of the services after changes constitute acceptance of the revised Terms.

If you are using the services on behalf of a business or another entity, you represent that you have the authority to bind that entity to these Terms.

Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
Prohibited Actions: You may not share your login credentials, impersonate others, or use accounts belonging to others without permission.

License: NxtGi grants you a limited, non-exclusive, non-transferable, revocable license to use the services for personal or business purposes in accordance with these Terms.
You agree not to use the services for unlawful, harmful, or fraudulent purposes.
You agree not to interfere with or disrupt the integrity, security, or performance of the services.
You agree not to attempt unauthorized access to the services or systems connected to the services.
You agree not to reverse-engineer, decompile, or disassemble any part of the services.

6. Content Ownership and User-Generated Content

All content provided through the services is owned by NxtGi or its licensors and is protected by intellectual property laws.
You retain ownership of content you post on our platforms but grant NxtGi a worldwide, non-exclusive, royalty-free license to use, display, reproduce, modify, and distribute such content.
You are solely responsible for the content you upload, post, or share. NxtGi is not liable for any user-generated content.
You agree not to post content that is illegal, defamatory, obscene, harmful, or infringes on intellectual property rights.

7. Payments and Transactions

All payments on NxtGi platforms are processed through Liper, our financial services subsidiary, offering secure escrow and transaction solutions.
Certain services may require fees. By using these services, you agree to pay applicable charges, which may change from time to time with notice.
Refund policies vary depending on the platform and service. Please refer to specific platform policies for more information.
You are responsible for all taxes related to transactions made through our platforms.

8. Third-Party Services

NxtGi may integrate with third-party services for enhanced functionality. We are not responsible for the content, policies, or practices of third-party services, and your use of these services is at your own risk.

9. Privacy

Your privacy is important to us. Please refer to our Privacy Policy for details on how we collect, use, and protect your personal information.

10. Termination of Services

You may terminate your account at any time by following the instructions provided in your account settings.
We reserve the right to suspend or terminate access to our services at our discretion, with or without notice, for any reason, including violations of these Terms.
Upon termination, your right to access and use the services will cease immediately, and NxtGi may delete your account and associated data.

11. Disclaimers and Limitation of Liability

The services are provided 'as is' and 'as available' without warranties of any kind, either express or implied. NxtGi does not guarantee that the services will be error-free, secure, or uninterrupted.
To the fullest extent permitted by law, NxtGi and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the services.
You agree to indemnify and hold harmless NxtGi, its affiliates, and partners from any claims, damages, losses, liabilities, and expenses arising from your use of the services or violation of these Terms.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of The Republic of Kenya, without regard to conflict of law principles.
Any disputes arising from or related to these Terms shall be resolved through Arbitration/Mediation/Court of Law in The Republic of Kenya.

13. Miscellaneous

These Terms, along with our Privacy Policy and any platform-specific terms, constitute the entire agreement between you and NxtGi.
If any provision of these Terms is found invalid, the remaining provisions will remain in effect.
Failure to enforce any provision of these Terms does not constitute a waiver of such provision.
